1. Agreement to Terms

By accessing our website at icononellc.fyi or engaging the services of Icone One LLC ("Icone One," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.

2. Services

Icone One LLC provides Amazon seller account consultancy services including but not limited to:

• Amazon seller account setup, verification, and management
• Listing optimization and catalog management
• PPC advertising campaign management
• FBA and FBM fulfillment strategy

Specific services, deliverables, timelines, and fees are governed by a separate written Service Agreement executed between Icone One LLC and the client. In the event of conflict between these Terms and a Service Agreement, the Service Agreement controls.

3. Eligibility

Our services are intended for businesses and individuals who operate or intend to operate legitimate commercial seller accounts on Amazon. By engaging our services, you represent that you have the legal authority to enter into a binding agreement and that your intended use of Amazon marketplace complies with Amazon's policies and applicable law.

4. Client Responsibilities

To enable us to deliver services effectively, you agree to:

• Provide accurate, complete, and timely information as reasonably requested
• Grant necessary account access as specified in your Service Agreement
• Ensure your Amazon seller account and product listings comply with Amazon's policies and applicable laws
• Not engage in prohibited conduct including review manipulation, counterfeit goods, or intellectual property infringement
• Promptly notify us of any changes to your account status, suspensions, or communications from Amazon

5. Fees and Payment

Fees for services are set forth in your Service Agreement. Unless otherwise specified, invoices are due within 14 days of issuance. Late payments may be subject to a monthly service charge. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days past due.

6. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the engagement. Icone One LLC will not disclose your account data, sales figures, or proprietary information to third parties except as required to deliver contracted services or comply with legal obligations. This obligation survives termination of the service relationship.

7. Intellectual Property

Your content: You retain all ownership rights to your product content, images, brand assets, and data. You grant Icone One LLC a limited license to use these materials solely to perform contracted services.

Our materials: All content on icononellc.fyi — including text, graphics, and design — is the property of Icone One LLC and may not be copied, reproduced, or distributed without express written permission.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available." We do not guarantee specific sales outcomes, ranking positions, account reinstatement results, or advertising performance metrics. Amazon's policies, algorithms, and marketplace conditions are outside our control and subject to change without notice.

To the fullest extent permitted by law, Icone One LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Icone One LLC's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Icone One LLC in the three (3) months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, punitive, or special damages.

10. Termination

Either party may terminate the service relationship as specified in the applicable Service Agreement. Upon termination, Icone One LLC will return or delete your account credentials and data within 30 days of a written request. Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Icone One LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.

12. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will revise the "Last Updated" date above. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
